Service Agreement of Zutto Technologies
Welcome to Zutto Technologies.
Before accepting the Agreement, you are deemed to have carefully read the entire content of the Agreement and to fully understand its terms, especially any restrictive clauses or exceptions. Restrictive clauses and exceptions are shown in bold or otherwise highlighted to draw your attention. If you have any questions about the terms of the Agreement, please contact the relevant business department of Zutto Technologies. You may not use the service until you have read and accepted all of the terms of the Agreement and the relevant agreements, rules, etc. Once you select "agree and submit the Agreement" (see the registration page for the detailed wording) and complete the registration process, or use the service in any way, you will be deemed to have read and accepted the restrictions of the Agreement and the rules described above. If you breach the Agreement, Zutto Technologies reserves the right to unilaterally restrict, suspend, or terminate the service for the user, and may exercise the right to pursue your relevant liabilities.
The parties that sign and enter into the Service Agreement (hereinafter "the Agreement") are you and Zutto Technologies (hereinafter "Zutto Technologies"). The Agreement includes, without limitation, the Zutto Technologies Privacy Policy and other content. In the event of any change, Zutto Technologies will announce the change on its official website without sending a separate notice. After the announcement, the amended agreement and rules will automatically become part of the Agreement, without your needing to receive a separate notice to obtain your consent. If you object to these changes, stop using the Zutto Technologies service; if you continue using it, you will be deemed to have no objection to the amended rules and to abide by them.
Definitions of Terms
1.1 Licensed Software means the software system developed by Zutto Technologies, downloaded from the platform, and installed and used on mobile devices running the specified system.
1.2 Services means the services that Zutto Technologies provides to the user. The user may use these services on a mobile device with the licensed software.
Service
2.1 Zutto Technologies offers smart device management services that allow access to smart devices on Zutto Technologies and its providers' smart platform through Zutto Technologies Control, and interconnection between smart devices. The Service includes smart device management, scene interconnection, analysis reports, etc. These features may be optimized or modified according to changes in user requirements or at the service provider's discretion, and the service may be suspended due to scheduled or unscheduled maintenance.
III. Scope of Service
3.1 Zutto Technologies grants the user the right to use the product based on this software.
3.2 The user may not license, sell, rent, transfer, or publish the product in any way, or use the product for any other commercial purpose. 3.2 Due to the limitations of the software's adaptation platform and of devices, you may only use the licensed software on the authorized system platform and on the authorized device; if you install the licensed software on other devices, the performance of their hardware or software may be impaired.
3.3 The user agrees that the licensed software may only be used for non-commercial purposes, and commercial installation, use, and operation of the licensed software is prohibited. If such commercial operation is necessary, prior written authorization must be obtained from Zutto Technologies.
3.4 Zutto Technologies may periodically modify, update, or transfer the licensed software or relevant features of it, and may add new features or services to the licensed software system. If no separate agreement accompanies the features or services mentioned above, the user will be entitled to the corresponding features and services, which will also be subject to the Agreement.
3.5 The user is responsible for the accuracy, reliability, completeness, and legality of the data entered and for the legality of the way the data is obtained, and will back up data and information regularly. The user assumes all risks related to damage to and loss of such information.
3.6 The user must properly protect their account number and password. If any security breach occurs in connection with their account (including, without limitation, disclosure of the user's password), the user must notify Zutto Technologies of the problem immediately, and Zutto Technologies will assist the user in taking the appropriate measures. Otherwise, the user will be responsible for all conduct and all liabilities related to their account.**
Third Parties
4.1 The user agrees that part of the Zutto Technologies service may be based on software or services provided by a third party in order to facilitate its use. Zutto Technologies has the necessary legal authorization from the third party.
4.2 The product includes certain third-party information and services. Zutto Technologies does not control and assumes no responsibility for third-party information and services.
4.3 The user agrees that Zutto Technologies cannot guarantee that the licensed software will always use or include such services, or that other software provided by the same third party will be used in the future. It may also use similar services provided by another third party. Once used, the corresponding software or services mentioned are subject to this Agreement.
Rules for Use of the Service
5.1 The user must use the licensed software in a normal manner. The following uses violate the rules of use:
1) Spreading or sharing computer viruses, worms, malicious code, or software that deliberately damages or alters computer systems or data.
2) Collecting information or data of other users without authorization, for example, email addresses and similar information.
3) Maliciously using the product in an automated way that overloads the server or interferes with or otherwise damages the web server and network links.
4) Attempting to access the product's server data or communication data without authorization.
5) Interfering with or damaging other users' use of the product.
5.2 The user understands and agrees that:
1) Zutto Technologies will determine whether the user is involved in violations of the rules of use mentioned above, and will suspend or terminate their license to use based on the results of its determination, or apply other restrictions under the applicable agreements.
2) Zutto Technologies will directly delete information posted by the user while using the licensed software that violates the law, infringes the legal rights of others, or breaches the Agreement.
3) If a third party suffers damage as a result of the user's violation of the rules of use, the user will independently assume legal liability in their own name and will defend and indemnify Zutto Technologies against any resulting losses or additional expenses. Otherwise, Zutto Technologies reserves the right to claim the corresponding compensation.
4) If Zutto Technologies suffers any loss due to the user's violation of the law or the Agreement, the user will indemnify Zutto Technologies for any resulting losses and/or expenses.
Rules on Information Content
6.1 The user agrees not to commit any act that violates the law and not to engage in improper conduct through the use of the service. These acts and conduct include, without limitation:
6.1.1 Uploading, transferring, or sharing information that includes any of the content described below; content that:
1) Violates the fundamental principles set forth in the Constitution.
2) Endangers state security, reveals state secrets, subverts state power, or undermines national unity.
3) Harms the honor and interests of the state.
4) Incites ethnic hatred and discrimination or undermines national unity.
5) Undermines the state's religious policy or promotes cults and feudal superstition.
6) Spreads rumors, disturbs social order, or undermines social stability.
7) Promotes obscenity, pornography, gambling, violence, murder, or terror, or incites crime.
8) Insults or slanders others or infringes the legal rights and interests of others.
9) Contains false, fraudulent, threatening, privacy-invading, harassing, criminal, defamatory, indecent, or morally offensive content.
10) Contains other content restricted or prohibited under applicable laws, regulations, codes, provisions, and other legal rules.
VII. Privacy Policy and Data
7.1 Zutto Technologies gives the highest priority to protecting your personal information. Zutto Technologies has prepared the Zutto Technologies Privacy Policy, which includes content related to the ownership and protection of intellectual property, as well as the collection, use, disclosure, storage, protection, etc. of your information. We recommend that you read the Zutto Technologies Privacy Policy carefully.
VIII. Exclusion Clauses
8.1 Unless otherwise specified by laws and regulations, Zutto Technologies will use its best efforts to ensure the security, validity, accuracy, and reliability of the licensed software and related technologies and information; however, Zutto Technologies cannot fully guarantee them due to the limitations of currently available technologies.
8.2 The user agrees that Zutto Technologies will assume no liability for direct or indirect losses arising from force majeure events or from the default of a third party.
8.3 The user will be responsible for personal injury or incidental or indirect damages arising from or related to any of the following incidents: 1) a third party uses the licensed software or changes its data without permission; 2) expenses and losses arising from the use of the licensed software; 3) the user's misunderstanding of the licensed software; 4) other losses related to the licensed software arising from reasons not attributable to Zutto Technologies.
8.4 Any other software derived from the licensed software that has not been developed and published by Zutto Technologies, or the development and publication of software not authorized by Zutto Technologies, is considered illegal software. Downloading, installing, and using this type of software may pose unpredictable risks. Zutto Technologies will be released from any legal liability and disputes arising from these activities, and Zutto Technologies will have the right to suspend or terminate the license to use and/or all remaining services.
8.5 The user has been informed that the use of Zutto Technologies and its providers' smart platform involves internet service, which may be affected by unstable factors in all communication links. Although Zutto Technologies has adopted protective measures, the service may be suspended, terminated, delayed, or subject to usage restrictions or failures arising from defects inherent to the internet and electronic communications, as well as from factors beyond the reasonable control of any party to the Agreement (including, without limitation, fire, flood, terrorist attack, epidemic, natural disasters, civil unrest, device viruses, hacker attacks, network failures, and device failures). The user hereby agrees to assume the risks stated above and acknowledges that Zutto Technologies will be released from any liability when the normal operation of the services is affected by the risks stated above.
Termination and Breach of the Agreement
9.1 The user must understand that they will use the licensed software within the scope of the authorization, respect the intellectual property of the software and the content included in it, and perform their obligations under the Agreement when using the Zutto Technologies services. Zutto Technologies will terminate the license to use if the user materially breaches the Agreement.
9.2 Your use of the software relies on support services provided by companies affiliated with Zutto Technologies. A breach by the user of the terms, agreements, rules, notices, and other relevant regulations of Zutto Technologies and its affiliated companies may prevent normal use of the licensed software; in that case, Zutto Technologies may exercise its right to terminate the license to use, or take measures to restrict your license to use or other rights and interests controlled by Zutto Technologies as set forth in the Agreement, including suspending or terminating your license to use.
9.3 If the user breaches the Agreement or other agreements signed with Zutto Technologies, Zutto Technologies will have the right to inform its affiliated companies and request that they take restrictive measures regarding the user's rights and interests, including asking those companies to suspend or terminate, in whole or in part, the services they provide to the user, and to announce the user's breach of the agreement on the websites those companies operate or effectively control.
9.4 The licensed software is downloaded from the download platform, and the user must comply with the provisions of the download platform, the system platform, and the device manufacturer regarding how the licensed software may be used and its restrictions. If the third party mentioned above confirms that the user has breached or is breaching the Agreement and Zutto Technologies' intervention is required, Zutto Technologies may terminate your license to use at the third party's request.
9.5 If the license to use is terminated, the user must stop using the licensed software and destroy all copies.
9.6 The user must assume full liability for compensation if Zutto Technologies and other users suffer losses arising from the user's breach of the terms set forth in the Agreement.
Governing Law and Severability
10.1 The validity, interpretation, modification, performance, and dispute resolution of the Agreement are governed by the laws of the People's Republic of China. If no applicable laws and regulations exist, reference will be made to international business practices and/or industry practices.
10.2 The user and Zutto Technologies may resolve disputes arising from or related to the Agreement through friendly negotiation, or submit them to the arbitration of the People's Court at Av. Ejército Nacional 505-1602 Col. Granada, C.P. 11520, Miguel Hidalgo, CDMX, Mexico, where the Agreement is entered into.
10.3 If the People's Court decides that any term of the Agreement is invalid, this decision will not affect the validity of the other terms or any part of them, and the user and Zutto Technologies will comply with the valid terms in good faith.
10.4 The Agreement is signed at Av. Ejército Nacional 505-1602 Col. Granada, C.P. 11520, Miguel Hidalgo, CDMX, Mexico.
